General Conditions of AXA BIKE SECURITY KEYSERVICE, part of Allegion Netherlands B.V., located in Veenendaal, The Netherlands.

1. General

1.1    These general terms and conditions apply to all offers made by AXA and to all agreements concluded between AXA and its clients. The terms and conditions can be accessed by everybody and form part of AXA's website.

1.2     By placing an order you are acknowledging that you agree to the conditions for delivery and payment. AXA reserves the right to change its conditions regarding delivery and/or payment.

1.3     AXA guarantees that the product supplied complies with the agreement and with the specifications indicated in the offer.


2. Delivery

2.1    Deliveries will be made while stocks last.

2.2    All periods indicated on the website are indicative. As such, no rights can be derived from these periods.

2.1    Deliveries will be made within 30 days.


3. Prices

3.1    All prices on the website are subject to misprints and typesetting errors. No liability is accepted for the consequences of misprints and typesetting errors.

3.2     All prices on the website are listed in Euros and are inclusive of Dutch VAT at 21%.


4. Consideration period / right of withdrawal

All keys are made specifically to your order and are excluded from the right of withdrawal in accordance with the exclusion clause in the Act on Distant Selling (Article 7:5 of the Dutch Civil Code).


5. Data Management

5.1 When you place an order with AXA, your data will be included in AXA's customer database. In accordance with the Dutch Data Protection Act, AXA will not pass on your personal details to third parties.


6. Warranty and conformity

6.1     AXA guarantees that its products and/or services comply with the agreement, stated specifications, fair requirements of quality and the existing legal provisions and/or government regulations that are effective on the date the agreement was entered into.

6.2    If any delivered item is found to be faulty or of inferior quality, the customer must notify AXA in writing within one month of discovering the defects (prior to returning said item to AXA).

6.3     If it considers the customer’s complaints justified, AXA will replace the key free of charge. Any liability for damage caused by AXA is limited to the invoice amount of the goods in question. Any liability for any other form of damage caused by AXA is excluded, including additional compensation in any form, reimbursement of indirect or consequential damages or damage due to the loss of profit.

6.4 This warranty does not apply: (A) for as long as the customer is in default with AXA; (B) if the customer has modified the delivered goods or had them modified by third parties. (C) if the items delivered have been exposed to abnormal conditions or have been otherwise carelessly handled.


7. Agreement

7.1     An agreement between AXA and a customer is established once the feasibility of the order has been assessed by AXA.

7.2     AXA reserves the right, without giving any reason, not to accept orders or requests or to accept them only on the condition that they are dispatched cash-on-delivery or following payment in advance.


8. Images and specifications

8.1     All images, photographs, drawings and information on weights, dimensions, colours, etc. on AXA's website are approximate only and cannot be invoked to claim compensation or dissolution of the agreement.


9. Force Majeure

9.1     AXA is not liable if and to the extent that its commitments cannot be met due to Force Majeure.

9.2     Force Majeure means any external cause and any circumstance for which the risk should not reasonably be borne by AXA. Force Majeure expressly includes delays at, or failure to perform services by, our suppliers, disruptions to the internet, power failures, disrupted e-mail traffic and disturbances or changes in technology provided by third parties, transport difficulties, strikes, government measures, delays in supply, negligence by AXA's suppliers and/or manufacturers.

9.3    In the event of Force Majeure AXA reserves the right to suspend its obligations and is entitled to dissolve the agreement partially or in full. Under no circumstances will AXA be bound to pay any fines or compensation.
